Terms of Service
These terms explain what a City Lights purchase provides, what we expect from buyers, and the limits of the service.
1. The agreement
City Lights is operated by lightup.lol, based in Ontario, Canada. By using the site or paying for a window, you agree to these Terms, our Acceptable Use rules, Refund Policy, and Privacy Policy. You must be at least 18 and able to enter a contract. If you buy for an organization, you confirm that you can act for it.
2. What you buy
A completed payment buys the current high bid for one selected digital window. Empty windows start at $1. To replace an occupant, a buyer pays the exact higher price displayed at checkout, exactly $1 above the current bid. The new name, message, logo, and link replace the prior occupant after payment is confirmed.
A bid has no fixed duration. It stays visible until another buyer completes the next qualifying bid, the content is moderated, or the service ends. It may therefore be replaced moments after purchase. You are buying a changeable advertising position, not ownership, permanent placement, an endorsement, or any promised amount of time, traffic, clicks, customers, sales, revenue, or other result. The City Spotlight billboard follows exactly the same rules as every window.
3. Your content
You confirm that you control or are authorized to promote the name, logo, content, and destination you submit. You remain responsible for them and for following advertising, privacy, intellectual-property, and other laws that apply to you. You give us a worldwide, non-exclusive, royalty-free license to resize, store, display, and promote that material as needed to operate City Lights and its public history.
4. Moderation
We may review, refuse, hide, suspend, or remove content that breaks our rules, creates legal or security risk, attracts a credible rights complaint, or could harm the service or its visitors. We may act without advance notice when reasonably necessary. Removal for your breach does not create a refund except where the law requires one.
5. Payments and availability
Prices are shown in US dollars unless stated otherwise. Stripe processes checkout and card information under its own terms. You ask us to begin the digital placement as soon as payment is confirmed. Refunds are handled under our Refund Policy.
City Lights is provided “as is.” It may occasionally be unavailable, delayed, or incorrect. We may change future prices and features, but changes do not alter a bid already completed, though every active position remains open to the next qualifying takeover.
6. Liability
To the fullest extent allowed by law, we disclaim implied warranties and are not liable for lost profits, business opportunities, data, goodwill, or indirect, special, incidental, or consequential loss. Our total liability connected with a purchase will not exceed the amount you paid for the placement involved. These limits do not apply where the law does not allow them.
You will cover reasonable losses and legal costs caused by your submitted content, destination, violation of these Terms, or infringement of someone else’s rights, except to the extent the loss was caused by us.
7. General
Ontario law and the laws of Canada that apply there govern these Terms. Ontario courts have jurisdiction, subject to any mandatory rights you have where you live. If one part is unenforceable, the rest remains in effect. Terms in force when you pay continue to govern that purchase unless a legal or security change must apply sooner.
